Star Gas Partners, L.P.

Star Gas Partners is a full service energy provider specializing in the sale of home heating products and services to residential and commercial customers. The Partnership also services and sells heating and air conditioning equipment and, in certain areas, provides home security and plumbing services. In addition, Star sells diesel fuel, gasoline and home heating oil on a delivery-only basis. Star is the nation's largest retail distributor of home heating oil, based upon sales volume, operating throughout the Northeast and Mid-Atlantic. Star Gas is a publicly traded master limited partnership. Common units, representing limited partner interests in the Partnership, are listed and trade on the New York Stock Exchange, Inc. ("NYSE") under the symbol "SGU." As a master limited partnership our unitholders are required to report for federal income tax purposes their allocable share of our income, gains, losses, deductions and credits, regardless of whether we make cash distributions. We expect that an investor will be allocated taxable income (mostly dividend income) regardless of whether a cash distribution has been paid.
